The Visions NFT License Agreement (referred to as the “License”) constitutes a legally binding contract between SFT Studios and yourself. Upon acquiring a Visions NFT, you obtain full personal property rights to the token embedded within the Visions NFT (such as the liberty to sell, transfer, or otherwise manage that specific Visions NFT). However, it's important to note that ownership of the associated artwork, brand, or other intellectual property linked with the Visions NFT remains with SFT Studios, with the exception of the specific licensed rights outlined below
DEFINITIONS
“Visions NFT” refers to any NFT bearing the Visions brand or theme, created by or on behalf of SFT Studios.
“Visions NFT Art” denotes the artwork, imagery, or creative works associated with a particular Visions NFT.
“Visions Tradmarks” encompass all logos, trademarks, service marks, and trade dress associated with Visions, sanfrantokyo.xyz, Visions NFTs, and SFT Studios. This includes names like “Visions” or “sanfrantokyo.xyz,” the “Chiyo” name, or any other names of characters, products, or services related to Visions developed by us.
“SFT Studios” “us,” “we,” or “our” collectively refer to SFT Studios, Limited, and/or its affiliates
“Commercial Use” denotes any activity conducted with the intention of generating revenue. This includes the sale or transfer of items (including NFTs) on any marketplace, the creation and sale of merchandise, or the development of a comic book or video game.
“NFT” encompasses any blockchain-tracked non-fungible token, including those compliant with standards like ERC-721C, ERC-721, ERC-1155, or other non-fungible token standards.
“you” or “your” refers to a lawful owner of a Visions NFT.
LICENSE GRANT
The Visions NFT Art License provides you with the following rights as long as you possess your Visions NFT lawfully and abide by the terms of this license:
- You are granted a non-exclusive, global, royalty-free license to utilize, replicate, exhibit, alter, and produce derivative works of the Visions NFT Art associated with your Visions NFT for personal, non-commercial purposes. This may include showcasing in your wallet, using as a profile picture, or creating a pixel-art rendition for use on a third-party platform.
- You are granted a non-exclusive, worldwide, royalty-free license, which is sublicensable only to service providers aiding you in Commercial Use, to use, copy, reproduce, and display the Visions NFT Art associated with your Visions NFT for any Commercial Use. However, this license does not encompass the right to produce derivative works of the Visions NFT Art except as necessary for adapting and portraying the Visions NFT Art on the goods or media created under this license, or as specified in the “No Rights to Trademarks” section below. Nonetheless, you are permitted to mint and establish new NFTs and NFT projects based on your Visions NFT Art for Visions NFTs owned by you, provided you refrain from employing the Visions Trademarks on, or for promoting, such new NFTs. Occasionally, we may engage in collaborations with third parties to create Visions NFTs containing Third Party Content, including artwork, images, works of authorship, logos, trademarks, service marks, or trade dress owned by third parties. This license does not extend to any Visions NFT or Visions NFT Art containing Third Party Content, and you are prohibited from using, copying, reproducing, displaying, creating derivative works of, or generating new NFTs based on such Third Party Content, or any part thereof, for any Commercial Use, unless we or the relevant third parties explicitly provide written consent or make a public announcement to that effect.
